End-User License Agreement for FontPilot

Effective Date: May 16, 2024

1. Introduction

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Ventana Tools, LLC ("Ventana", "we", "us", or "our") regarding your use of FontPilot, a font management application ("FontPilot" or "Software"), which is provided via the Microsoft Store.

2. License Grant

Ventana grants you a non-exclusive, non-transferable, revocable license to use FontPilot on any Windows device that you own or control. This license is granted for the version of FontPilot you have purchased for a one-time fee, allowing perpetual use, unless otherwise specified by new versions or updates. Your license permits FontPilot to be active on up to three (3) devices simultaneously. You have the flexibility to deactivate FontPilot on a device and activate it on another once this limit is reached. Should you require additional activations beyond this limit, an additional license must be purchased.

License Requirements: Each license purchased is valid for use by one individual only. Sharing a license with others (including but not limited to co-workers, team members, or any other person) is strictly prohibited and may result in the termination of your license—without refund. Additional individuals or teams will require their own separate licenses.

Future versions or upgrades, such as "FontPilot 2", may require the purchase of a new license.

3. License Restrictions

You may not:

• Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Software;
• Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Software;
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software, or any features or functionality of the Software, to any third party for any reason;
• Remove any proprietary notices from the Software;
• Use the Software in any manner that infringes any intellectual property rights or that has not been authorized by these terms.

4. Intellectual Property Rights

All copies of FontPilot provided to you by Ventana are licensed, not sold, and Ventana retains ownership of all copies of the Software applications and documentation even after installation on your devices. All rights not expressly granted to you in this EULA are reserved by Ventana.

5. Third-Party Fonts

FontPilot may show system fonts installed on your device, which are governed by the license terms of your operating system, not by Ventana. For details on these terms, please visit Microsoft Typography Font FAQ.

You are responsible for obtaining and maintaining all necessary licenses for any fonts imported or used within FontPilot. Ventana disclaims all liability for unauthorized use of fonts.

6. Payment and Fees

All transactions and payments are processed by our third-party payment gateway, Lemon Squeezy, LLC. You agree to adhere to the terms of service and refund policy of Lemon Squeezy, LLC, which are available on their website. Lemon Squeezy, LLC is the merchant of record for Ventana.

7. Disclaimer of Warranties

FontPilot is provided "as is," with all faults, defects, bugs, and errors. Ventana makes no warranties or representations of any kind regarding the Software.

8. Limitation of Liability

Ventana shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind arising out of or related to this EULA or your use of FontPilot, whether arising under contract, tort, or any other theory of liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ventana and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claim, proceeding, loss, damage, liability, cost, demand, or expense arising from or relating to your use of FontPilot or your breach of this EULA.

10. Termination

This EULA will terminate immediately without notice from Ventana if you fail to comply with any provision of this EULA. Upon termination, you must destroy all copies of FontPilot in your possession.
